Description of Services. CoWork Boynton will provide Member with a limited license to use office space, work stations, desks, private meeting rooms, internet access, certain office equipment and other services as CoWork Boynton may provide from time to time (the “Services”) located at 2405 Quantum Blvd, Boynton Beach, FL 33426 (the “Office”).

Membership Details & Payments. Member agrees to the following terms regarding their Membership and payment of fees.

All membership payments are due on a recurring monthly basis, paid in advance on the 1st of each month. (The first month will be prorated if the start date is not the 1st).

Payments are collected through automatic credit/debit card billing. Member hereby authorizes CoWork Boynton to process payment using the card on file on the 1st day of each month, until such time as Member cancels this Agreement.

CoWork Boynton reserves the right to charge late fees ($25) and insufficient funds fees ($35) if payment is returned.

A thirty (30) day written cancellation notice is required for all memberships, delivery via email to hello@CoWorkBoynton.com.

If Payment is not made on time or is returned, CoWork Boynton may terminate this Agreement, or suspend Member’s use of the Services until payment is current.

If you believe you were charged in error, please email hello@CoWorkBoynton.com before disputing the charge with your card company. These issues are usually very easy to resolve.

Acceptance of House Rules. The Member agrees to abide by CoWork Boynton’s House Rules. CoWork Boynton reserves the right to update, amend and/or change the House Rules at any time without prior notice to the Member. CoWork Boynton reserves the right to terminate your use of the Services, immediately and with or without notice, for failure to comply with the House Rules.

Prohibited Uses. You agree not to use CoWork Boynton or the Services for any purpose that is unlawful, prohibited, or that could damage, disable or impair the property of CoWork Boynton or of other members, or prevents other members from enjoying CoWork Boynton, or that would damage the reputation of business of CoWork Boynton. You also agree not to use CoWork Boynton in connection with:

Lottery contests, pyramid schemes, chain letters, junk email (or real mail), spamming or similar behavior.

Defaming, abusing, harassing, threatening, or otherwise violating the legal rights (such as privacy) of others.

Posting, distributing, or disseminating inappropriate, profane, defamatory, obscene, indecent, or unlawful material or information.

Uploading, reproducing, using, performing, or otherwise making available, images, software or other material or information which infringes another’s rights, or is protected by intellectual property laws where you do not own or license such rights.

Uploading or using files that contain viruses, Trojan Horses, Worms, time bombs, bots, corrupted files, or any other similar software or programs that may damage the computers or property of CoWork Boynton or another Member. All computers other than Macs must have antivirus software installed.

You may not harvest or otherwise collect information about others, including email addresses, without the authorization or consent of the disclosing party.

CoWork Boynton reserves the right to terminate your use of the Services, immediately and with or without notice, for any violation of the Prohibited uses set forth in this Agreement.

Changes. These terms and/or the House Rules of CoWork Boynton may change from time to time and will be posted on CoWork Boynton’s website. We will strive to provide individual notice to Members of material changes; however, Member agrees to be bound by all terms of the Membership Agreement and House Rules as amended from time to time to time.

Non-Disclosure. In your presence at CoWork Boynton you may learn of confidential information of CoWork Boynton or of its members. Such confidential information may include business information, trade secrets, technology, processes, customers, and prospects that is intended to be confidential and proprietary. You hereby agree and consent to not disclose information that you obtain that was intended to remain confidential.

Disclaimer of Warranties and No Tenancy. To the maximum extent permitted by applicable law, CoWork Boynton provides its Services “As-Is” and with all faults, and hereby disclaim with respect to the Services all warranties and conditions whether express, implied or statutory, including, but not limited to merchantability, title, quiet enjoyment, possession, fitness for a particular purpose or use, lack of viruses, accuracy or completeness, results, workmanlike effort and lack of negligence. The entire risk as to the quality or arising out of participation in or the use of the Services, remains with Member. You hereby understand, agree and warrant that this Agreement is not a lease of real property, that you are not a tenant, that CoWork Boynton is not a landlord, and there is no tenancy relationship whatsoever as defined in any regulations, statutes or case law.

Liability & Indemnification. You hereby release, agree to hold harmless and indemnify CoWork Boynton, its members, officers, directors, employees, and contractors (the “Releasees”) from any claims, liability, losses, damages, expenses, judgements, fines, actions, or suits with respect to any damages, injuries or losses you suffer to your person, business or property, whatsoever, including as a result of negligence on the part of the Releasees, including but not limited to any direct, special, incidental, indirect, punitive, consequential or other damages whatsoever (including, but not limited to, damages for lost profits, loss of confidential or other information, business interruption, personal injury, loss of privacy, failure to meet any duty (including of good faith or of reasonable care), negligence, and any other loss) arising out of or in any way related to CoWork Boynton’s Services or otherwise. You further agree in the event that you bring a claim or lawsuit in violation of this Agreement, you shall be liable for any attorneys’ fees and costs incurred by CoWork Boynton or its respective officers and agents in connection with the defense of such claim or lawsuit.

Severability. In the event that any provision or portion of this Agreement is determined to be invalid, illegal or unenforceable for any reason, in whole or in part, the remaining provisions of this Agreement shall be unaffected thereby and shall remain in full force and effect to the fullest extent permitted by applicable law.

Risk of Loss. CoWork Boynton shall not be liable for any loss by reason of damage, theft, or otherwise to the belongings and personal effects of the Member or Member’s guests, agents, employees, or visitors. We have insurance for CoWork Boynton. We recommend you also have insurance appropriate to your business, to cover liability, loss, theft, damage, and the like to your personal property brought into the Office. Our insurance does not protect you or your business. If you bring (and possibly leave) your personal items to CoWork Boynton, it is your job to secure them.

Miscellaneous.

This Agreement shall inure to the benefit of and bind the parties hereto and their successors, heirs and/or assigns.

This Agreement shall be governed by the laws of the State of Florida.

The exclusive jurisdiction and venue for all purposes under this Agreement shall be Palm Beach County, Florida.

The captions or paragraph headings are for the convenience and ease of reference only and shall not be construed to limit or alter the terms of the Agreement.
